Introduction

This Partner Agreement ("Agreement") governs the relationship between Nottral ("Platform") and registered businesses ("Partners") that use the Platform to offer services to Clients. By completing the business registration process and accepting this Agreement, you acknowledge and agree to comply with all obligations outlined herein.

This Agreement is binding from the moment of acceptance during registration and remains in effect for the duration of the Partner's active presence on the Platform. Nottral reserves the right to update this Agreement at any time, with prior notice to Partners.

Fiscal Obligations

All Partners operating on the Nottral platform must maintain valid fiscal registration and comply with Romanian and EU fiscal regulations at all times.

  • Maintain a valid CUI (Cod Unic de Identificare) or CIF (Cod de Identificare Fiscala) throughout the duration of the partnership
  • Issue compliant invoices for all services rendered through the Platform, in accordance with Romanian fiscal legislation
  • Keep fiscal registration data up to date in the Platform's business profile
  • Comply with all applicable VAT obligations, including registration and reporting where required
  • Maintain accurate financial records related to Platform transactions for a minimum of 10 years

Partners must have valid fiscal registration at all times. Operating with an expired, suspended, or invalid CUI/CIF will result in immediate account suspension until the issue is resolved.

Platform Commission

By registering as a Partner on Nottral, you acknowledge and agree that Nottral charges a commission on each completed appointment booked through the platform. The applicable commission rate is determined by your active subscription plan and is visible during service setup in your Partner dashboard.

Commission rates, calculation methodology, and invoicing terms are governed by the Billing Policy, available at nottral.com/billing-policy.

DAC7 Fiscal Reporting Obligations

As a digital platform operator under EU Directive 2021/514 (DAC7), transposed into Romanian law via OG 16/2023, Nottral is required to collect fiscal identification data from all Partners and submit annual reports to ANAF for Partners who exceed the reporting thresholds.

Your obligations under DAC7 are detailed in the DAC7 Fiscal Reporting Notice, available at nottral.com/dac7. By accepting this Agreement, you acknowledge these obligations and confirm that the fiscal data provided during registration is accurate and complete.

Service Quality Standards

Partners are expected to deliver services that meet or exceed the standards described in their Nottral profile. Consistent service quality is essential for maintaining trust on the Platform.

  • Provide services exactly as described in your business profile, including scope, duration, and pricing
  • Maintain a minimum average client rating of 3.0 out of 5.0
  • Respond to client inquiries and appointment requests within a reasonable timeframe
  • Ensure that all staff members representing your business on the Platform are qualified and authorized to deliver the listed services
  • Keep your business profile, availability, and pricing information accurate and up to date at all times

Partners whose average rating falls below 3.0/5.0 over a rolling 90-day period will receive a warning. If the rating does not improve within 30 days, the account may be temporarily suspended pending review.

Cancellation & Refund Policy

Partners must respect the Platform's cancellation and refund policies to ensure fair treatment of Clients.

  • Honor all cancellation requests made within the timeframes defined by the Platform's Refund Policy
  • Process refunds promptly when a Client is entitled to one under the Refund Policy or Billing Policy
  • Do not impose additional cancellation fees or penalties beyond those permitted by the Platform
  • Notify Clients in advance if you need to cancel or reschedule an appointment, providing reasonable notice
  • Maintain a cancellation rate below the Platform's acceptable threshold (currently 15% of total bookings per rolling 30-day period)

Client Data & Privacy

Partners who access or process Client personal data through the Platform must do so in full compliance with applicable data protection laws.

  • Handle all Client personal data in compliance with the General Data Protection Regulation (GDPR) and Romanian data protection laws
  • Use Client data exclusively for the purpose of delivering the booked service — never for unsolicited marketing or third-party sharing
  • Implement appropriate technical and organizational measures to protect Client data from unauthorized access, loss, or disclosure
  • Report any data breach involving Client data to Nottral within 24 hours of becoming aware of the incident
  • Delete or anonymize Client personal data upon request, unless retention is required by law

Commission & Payment Terms

Partners agree to the commission and payment terms as defined in the Billing Policy. Key obligations include:

  • Accept the applicable commission rate as defined in the Billing Policy for all transactions processed through the Platform
  • Maintain a valid and active payment method (Stripe Connect account) for receiving payouts
  • Do not attempt to circumvent the Platform's payment system by directing Clients to pay outside the Platform
  • Acknowledge that Nottral may adjust commission rates with 30 days' prior written notice
  • Maintain an active subscription plan as required for your business tier

Reputation & Rating System

Partners participate in the Platform's reputation and rating system, which is designed to promote transparency and trust.

  • Accept that Clients may leave reviews and ratings after each completed appointment
  • Do not attempt to manipulate, incentivize, or suppress genuine Client reviews
  • Respond to negative reviews constructively and professionally
  • Acknowledge that the Platform may display your average rating, review count, and response rate publicly
  • Understand that consistently low ratings or a pattern of negative reviews may trigger a review of your Partner status

Changes to This Agreement

Nottral reserves the right to modify this Partner Agreement at any time. Partners will be notified of material changes via email and/or an in-platform notification at least 30 days before the changes take effect. Continued use of the Platform after the effective date of the updated Agreement constitutes acceptance of the new terms. If a Partner does not agree with the changes, they may terminate their account before the effective date.

Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of Romania and applicable European Union regulations. Any disputes arising from or related to this Agreement shall be resolved in the competent courts of Bucharest, Romania, unless otherwise required by mandatory consumer protection laws.
