Introduction and Acceptance of Terms

Welcome to Nottral! These Terms and Conditions ("Terms") constitute a binding legal agreement between you and SC Nottral SRL, governing the use of our online appointment platform.

Acceptance of Terms

By creating an account or using our services, you confirm that:

  • You have read and understood these Terms in their entirety
  • You agree to comply with all provisions herein
  • You have the legal capacity to enter into this agreement
  • Electronic acceptance has the same legal validity as a handwritten signature

Eligibility

To use Nottral, you must meet the following conditions:

  • Individual users (clients making appointments) must be at least 16 years old. Users between 16 and 18 years old must have parental or legal guardian consent.
  • Partners (businesses registering on the platform) must be at least 18 years old or the age of majority in their country, and must have the legal capacity to enter into commercial agreements.
  • Not be prohibited from using our services by law or court order
  • Provide accurate and complete information during registration

Definitions

  • Platform: Nottral services and applications, including the website and APIs.
  • User: Any individual who accesses the platform to make appointments with businesses.
  • Business: An entity (legal person or authorized individual) that uses Nottral to manage appointments with clients.
  • Services: All functionalities offered by Nottral, including appointments, notifications, payments, and reporting.
  • Content: Any materials, information, or data uploaded or created on the platform by users or businesses.

Description of Services

Nottral is an online appointment platform that connects users with businesses across various industries. We provide a comprehensive solution for managing appointments, communications, and payments.

Online Appointments: Search for businesses, check availability, and make appointments in real-time.
Notifications & Confirmations: Receive automatic confirmations, reminders, and updates about your appointments.
Secure Payments: Pay online securely through certified payment processors.
Account Management: Access appointment history, manage preferences, and account data.

Multi-Tenant Model

Nottral operates as a multi-tenant platform, meaning we serve multiple businesses on the same infrastructure while maintaining strict data separation.

Service Availability

We strive to maintain platform availability 24/7, but cannot guarantee uninterrupted operation.

  • Availability targets vary by subscription plan and are defined in the Service Level Agreement (SLA).
  • Scheduled maintenance will be announced at least 48 hours in advance
  • Emergency maintenance may be performed without prior notice
  • We are not responsible for interruptions caused by external factors

User Obligations

Using the Nottral platform involves certain responsibilities you must uphold to maintain a safe and functional environment for everyone.

Account Security

You are responsible for protecting your account credentials:

  • Choose a strong, unique password for your Nottral account
  • Do not share your account credentials with others
  • Enable two-factor authentication (2FA) for additional protection
  • Notify us immediately if you suspect unauthorized access to your account
  • Log out from shared or public devices

Prohibited Conduct

The following actions are strictly prohibited on our platform:

  • Using the platform for illegal or fraudulent purposes
  • Creating fake accounts or using false identity
  • Violating the rights of other users or businesses
  • Uploading illegal, defamatory, or discriminatory content
  • Attempting to access systems or data without authorization
  • Interfering with the normal operation of the platform
  • Using automated software (bots) without our consent
  • Reselling or redistributing services without authorization
  • Making false appointments or harassing businesses

Business Obligations

Businesses using Nottral have additional responsibilities towards their clients and the platform.

Data Processing Agreement (DPA)

Businesses processing client personal data through Nottral must comply with our data processing agreement, available upon request. Nottral acts as a data processor for client data managed by businesses.

Legal Compliance

Businesses are responsible for:

  • Complying with legislation applicable to their activities
  • Obtaining all necessary authorizations and licenses
  • Correctly informing clients about services offered
  • Respecting consumer rights under applicable law
  • Providing services according to promised standards

Client Data Handling

  • Collect only data necessary for providing services
  • Do not use client data for unauthorized purposes
  • Respect access and deletion requests for data
  • Maintain confidentiality of client information
  • Notify Nottral about any security incidents

Payments and Subscriptions

EU Consumer Rights Directive 2011/83/EU

This section describes payment conditions for Nottral premium services and your rights under consumer protection legislation.

Subscription Plans

Nottral offers different subscription plans for businesses with varying features and prices. Complete details are available on the pricing page. Individual users can use the platform free of charge to make appointments.

Billing Terms

  • Payments are processed in advance for the selected billing period
  • We accept payments by credit/debit card and bank transfer
  • Invoices are issued electronically and sent to the registered email address
  • Subscriptions renew automatically at the end of the billing period
  • You can disable automatic renewal anytime from account settings

Refund Policy

Under EU consumer protection law, you have the right of withdrawal within 14 days of purchase for services that have not yet been used.

  • The right of withdrawal applies within 14 days of subscription activation
  • If you have started using the service, refund will be proportional to unused services
  • Refund requests should be sent to [email protected]
  • Refunds are processed within 14 days of approval
  • Refund is made using the same payment method used for purchase

Price Changes

We will notify you at least 30 days before any price change that affects you. You can cancel your subscription before the new prices take effect without penalty.

Intellectual Property

This section clarifies intellectual property rights associated with the Nottral platform and user-created content.

Nottral Intellectual Property

Nottral and all its components are the exclusive property of SC Nottral SRL:

  • The Nottral brand, logo, and visual identity
  • Source code, algorithms, and platform architecture
  • Interface design and user experience
  • Documentation, marketing materials, and editorial content
  • All future improvements and developments

User Content

You retain ownership of content you upload to the platform. By uploading content, you grant us a limited license to use it for providing our services.

You grant Nottral a non-exclusive, worldwide, royalty-free license to store, display, and transmit your content for the purpose of providing services. This license terminates upon deletion of content or account.

Use Restrictions

  • You may not reproduce, modify, or distribute the platform without written agreement
  • You may not disassemble, decompile, or reverse engineer the code
  • You may not use our brand without written authorization
  • You may not remove copyright or attribution notices

Limitation of Liability

Directive 93/13/EEC on Unfair Contract Terms

This section establishes the limits of our liability, in accordance with legislation on unfair terms in consumer contracts.

Disclaimers

  • Services are provided "as is" and "as available"
  • We do not guarantee uninterrupted or error-free platform operation
  • We are not responsible for actions of partner businesses or quality of their services
  • Content uploaded by users does not reflect our opinions or position
  • We do not guarantee results obtained through platform use

Liability Limits

To the maximum extent permitted by law, our total liability for any damages is limited to the amount paid by you to Nottral in the last 12 months.

  • Indirect, incidental, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Loss or corruption of data
  • Interruptions to your commercial activities

These limitations do not affect your legal consumer rights and do not exclude our liability for willful misconduct, gross negligence, or violation of fundamental rights.

Indemnification

Partners (businesses) agree to indemnify Nottral for any claims, losses, or costs (including attorney fees) resulting from their breach of these Terms or improper use of the platform. This indemnification clause applies to Partners only and does not apply to individual consumers (end users making appointments).

Force Majeure

We are not liable for failure to fulfill obligations caused by events beyond our reasonable control, including: natural disasters, war, acts of terrorism, pandemics, internet infrastructure failures, government decisions, or strikes.

Suspension and Termination

This section describes the conditions under which your account may be suspended or closed, and the effects of termination.

Termination by User

You can close your Nottral account at any time without needing to provide a reason:

  • Access account settings and select "Delete account"
  • Confirm your decision by entering your password
  • Data will be deleted according to our retention policy
  • Future appointments will be automatically cancelled

Termination by Nottral

We reserve the right to suspend or close your account in the following situations:

  • Violation of these Terms and Conditions
  • Fraudulent or illegal activities
  • Non-payment of contracted services (for businesses)
  • Prolonged inactivity (over 24 months) — users will be notified by email at least 30 days before account closure due to inactivity, with the option to reactivate their account.
  • At the request of competent authorities

Effects of Termination

  • Loss of access to account and all associated data
  • Cancellation of future appointments
  • Termination of platform usage rights
  • Outstanding financial obligations remain in effect

Data Retention After Termination

After account closure, some data may be retained according to legal obligations (e.g., tax documents for 10 years). Anonymized data may be used for statistics. See our Privacy Policy for complete details.

Dispute Resolution

EU Regulation 524/2013 on ODR

We are dedicated to amicably resolving any disagreements. Before initiating formal procedures, we encourage you to contact us directly.

Amicable Resolution

Before initiating any formal procedure:

  1. Contact us at [email protected] with a clear description of the issue
  2. We will confirm receipt of your request within 48 hours
  3. We will analyze the situation and respond within 15 business days
  4. We will try to find an acceptable solution for both parties within 30 days

Mediation

If we cannot reach an agreement through direct negotiation, you may seek an authorized mediator. Mediation is voluntary and confidential. Mediation costs are shared equally between parties unless otherwise agreed.

Governing Law and Jurisdiction

These Terms and Conditions are governed by Romanian law, and any disputes will be resolved accordingly.

Jurisdiction

Any dispute that cannot be resolved through the alternative methods described above will be brought before the competent courts in Bucharest, Romania. However, this provision will not deprive consumers of the protection afforded by the mandatory legislation of their country of residence.

International Users

If you access the platform from outside Romania, you are responsible for complying with applicable local laws. These Terms do not exclude mandatory rights granted by the legislation of your country of residence.

Changes to Terms

We reserve the right to modify these Terms and Conditions to reflect changes in our services, legal requirements, or business practices.

  • Significant changes will be notified at least 30 days in advance
  • Notifications will be sent by email and displayed on the platform
  • The date of last update is displayed at the beginning of the document
  • Continued use of the platform after notification constitutes acceptance

Right of Withdrawal Upon Changes

If you do not agree with the proposed changes, you have the right to close your account before the new terms take effect, without penalty and with proportional refund of unconsumed subscriptions.

General Provisions

This section contains general provisions applicable to the entire agreement between you and Nottral.

Entire Agreement

These Terms, together with the Privacy Policy (which includes our cookie practices), and any additional agreements you accept, constitute the entire agreement between you and Nottral regarding the use of our services.

Severability

If any provision of these Terms is declared null, invalid, or unenforceable by a competent court, the remaining provisions remain in full force and effect. The affected provision will be modified to the minimum extent necessary to become valid and enforceable.

Waiver

Failure or delay in exercising a right granted by these Terms does not constitute waiver of that right. Any waiver must be express and in writing.

Assignment

You may not transfer or assign the rights and obligations under this agreement without our prior written consent. Nottral may transfer this agreement in case of merger, acquisition, or sale of assets, with notification to you.
